What counts as an insider
An insider is anyone the SEC requires to report their trades in a company's stock: officers, directors, and any shareholder holding more than 10% of a class of shares. They file a Form 4 within two business days of the transaction, which is why this data is close to real time rather than quarterly.
Ranking by purchase value rather than by number of filings keeps the list meaningful. A director who files ten times for small automatic purchases says less than a chief executive who buys once and puts several million dollars behind it. Only open-market purchases count here, so grants, option exercises and tax withholding do not inflate anyone's position on this list.
The largest holders are frequently institutions rather than people. A fund crossing the 10% threshold files exactly as an executive does, and its purchases can dwarf every individual on the page. Their buying reflects a portfolio decision rather than an operator's view from inside the business, so it is worth reading differently from a chief financial officer buying their own stock.
